These Terms and Conditions govern the relationship between Sondira ("we", "us", "our") and any person ("Client", "you") who engages our joinery design services. By submitting an enquiry, accepting a fee proposal, or making a payment, you agree to these terms.

1. Definitions
- "Services" — Joinery Brief and Detail Sketch, Detailed Joinery Documentation, and Cabinet-Maker Liaison and Site Walks, as described on the Sondira website.
- "Deliverables" — Any sketches, drawings, documentation sets, schedules, or written notes produced by Sondira under an engagement.
- "Agreement" — These Terms and Conditions together with any written scope or fee proposal accepted by the Client.
- "Cabinet Maker" — The third-party fabricator engaged to manufacture and install joinery pieces, whether introduced by Sondira or selected independently by the Client.
2. Acceptance of Terms
By engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are engaging on behalf of a company or entity, you confirm that you have the authority to bind that entity.
3. Service Description
Sondira provides interior design services in the scope of joinery design, documentation, and on-site coordination. Our services are offered within Malaysia, with primary coverage of the Klang Valley. Projects outside this area may be considered subject to additional travel costs.
Sondira does not manufacture, supply, or install joinery. We are a design and coordination practice only. The engagement of a cabinet maker, whether through Sondira's network or independently, is a separate arrangement between the Client and the maker.
4. Client Responsibilities
- Provide accurate information about the site, existing conditions, and any constraints relevant to the joinery work.
- Arrange access to the property for site visits at agreed times.
- Review and respond to drawings and documentation in a timely manner.
- Inform us promptly of any changes to the scope or site conditions that may affect the work.
- Not use our Deliverables for any purpose outside the scope of the engagement or share them with third parties beyond the engaged cabinet maker without our written consent.
5. Intellectual Property
All Deliverables produced by Sondira remain our intellectual property until full payment has been received. Upon receipt of full payment, we grant the Client a non-exclusive, non-transferable licence to use the Deliverables for the construction and installation of the joinery pieces described in the engagement scope.
Deliverables may not be used for subsequent projects, reproduced for other properties, or shared commercially without written agreement. We retain the right to reference completed projects in our portfolio.
6. Payment Terms
- All fees are quoted and payable in Malaysian Ringgit (MYR).
- A 50% deposit is required before work commences on Joinery Brief and Detailed Joinery Documentation engagements.
- The remaining 50% is due upon delivery of the final Deliverables.
- For Cabinet-Maker Liaison and Site Walks, the full fee is payable before the first site visit.
- Payment is accepted by bank transfer to the account details provided in the fee proposal.
Cancellation: If a Client cancels an engagement after the deposit has been paid and site visits or drawing work have commenced, the deposit is non-refundable. If no work has commenced, the deposit will be refunded in full within 14 days. Once final Deliverables have been issued, no refunds apply.
7. Service Delivery and Revisions
- Indicative timelines are stated at the point of engagement and are estimates only.
- Each engagement includes one round of revisions at no additional cost. Further revisions are available at an agreed additional fee.
- Sondira is not responsible for delays caused by site access issues, changes in client instructions, or third-party dependencies.
8. Disclaimers
Our services are provided in good faith based on the information and site conditions available at the time of the engagement. We do not warrant that Deliverables will be free from error in all circumstances, or that the finished joinery will precisely match any digital representation.
Cabinet makers are independent contractors. Sondira does not accept liability for the workmanship, delays, or conduct of any cabinet maker, whether or not introduced through our network.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Sondira's total liability arising from any engagement shall not exceed the fees paid for that specific engagement. We are not liable for any indirect, consequential, or special loss, including loss of profit, arising from the use of our services.
Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.
10. Indemnification
The Client agrees to indemnify and hold harmless Sondira, its principals and team members, against any claims, losses, or expenses arising from the Client's misuse of Deliverables, inaccurate information provided to us, or breach of these Terms.
11. Termination
Either party may terminate an engagement by written notice. Where Sondira terminates due to a Client's material breach (including non-payment), fees for work completed to that point remain payable. Where a Client terminates without cause, the deposit is forfeited and fees for work completed are due.
Sections 5, 8, 9, 10, and 12 survive termination of any engagement.
12. Governing Law and Disputes
These Terms are governed by the laws of Malaysia. Both parties agree to the exclusive jurisdiction of the courts of Malaysia.
In the event of a dispute, both parties agree to attempt to resolve the matter informally within 30 days of written notice before initiating formal proceedings. Where informal resolution is not possible, disputes may be referred to the Kuala Lumpur Regional Centre for Arbitration (KLRCA) under its applicable rules.
13. General Provisions
- Entire Agreement: These Terms, together with any accepted fee proposal, constitute the entire agreement between the parties and supersede all prior communications.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Notices: Written notices may be sent by email to the addresses in the fee proposal or to [email protected].
14. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on our website. For active engagements, the Terms in effect at the time the fee proposal was accepted apply throughout that engagement.
